The organization shall be called “the Stittsville Food Bank”.
The Stittsville Food Bank shall undertake to assist persons in need of food, through the continued operation of a food bank.
The food bank shall be carried out without purpose or gain for its members and any profit or other accretions to the organization shall be used solely to promote its objectives.
a. Board of Directors
The Stittsville Food Bank shall be governed by a Board of Directors. Any resident of the City Ottawa may be eligible to be a member of the Board. The Directors shall be replaced at an Annual General Meeting, as necessary.
The Board of Directors shall be comprised of four officers Chair, Vice Chair, Treasurer, Secretary), four Directors (Client Services, Inventory Services, Food Drives, Publicity), and may include up to three Members-at-Large, and the immediate Past Chair.
The Board shall hold open monthly meetings and an Annual General Meeting in February.
The food bank operations shall be carried out entirely by unpaid volunteers.
The Board undertakes that absolute and complete privacy of information assembled and collected concerning clients and their families will be ensured. It will ensure that it is used solely for the purpose of determining client entitlement.
Only members of the Board of Directors shall be entitled to present motions and vote on these motions.
The financial records shall be kept in accordance with established financial practices. The financial year end shall be 31 December and a verified financial statement shall be prepared prior to the AGM.
b. Liability Insurance
The Board will review the level of coverage annually with our insurance to determine if increases in coverage are required. In that event, appropriate changes will be made which will ensure that adequate insurance coverage is always maintained.
5. Amendments to the Constitution
Any alteration of the constitution shall be considered at a regular meeting of the Board, notice having been given at the previous meeting, and shall require a two-thirds majority of those present and voting.
